Terms and Conditions

Any person who wishes to make a reservation to attend any Sheepspot retreat(s) must carefully read and ensure they understand the terms and conditions that follow.

Sheepspot reserves the right to update and/or alter these Terms and Conditions at any time, and it is your responsibility to check for updates and be familiar with our latest Terms and Conditions, which may be found on our website: http://www.sheepspot.com/retreat-terms-and-conditions .

1. Parties. "Participant", "you", "your" and "yourself" refers to the individual identified in the applicable Reservation (as defined below) for the Spinning for the Soul retreat scheduled for September 19 - 22, 2024 (the "Retreat"), and "Sheepspot", "we", "our" and "us" refers to SHEEPSPOT YARNS AND FIBERS, a sole proprietorship registered and operating pursuant to the laws of the Province of Ontario (together, the "parties").

2. Entire Agreement. The terms and conditions set out herein ("Terms"), together with the electronic booking form and reservation request you submit via Sheepspot's website (your "Reservation") and any other documents and agreements you may receive from Sheepspot related to your participation in the Retreat, constitute the entire '“Agreement” between you and Sheepspot. Your reservation for and participation in the Retreat is subject to and conditional upon your acceptance of these Terms. By making a Reservation, you confirm your agreement to be bound by these Terms.

3. Retreat. The Retreat is scheduled to begin at 3:00 P.M. AST on September 19, 2024 (the "Arrival Date") and end at 12:00 P.M. AST on September 22, 2024 (the "Departure Date"). The Retreat will be hosted at Shobac Farm, located at 80 Net Yard Lane, Upper Kingsburg, Nova Scotia, Canada (the "Property"). Occasionally, changes to the Retreat may have to be made (e.g., leaders, guides, itinerary, or other arrangements), which we reserve the right to do at any time. If a significant change becomes necessary, we will inform you as soon as reasonably possible.

4. Fees. You agree to pay all fees and deposits described in the Reservation plus applicable taxes (collectively, the “Fees”. All Fees are per person and expressed in United States Dollars (USD). We reserve the right to alter the Fees shown on our website. You will be advised of the current Fees before your Reservation is confirmed.

5. Deposit and Payment of Fees. To secure your Reservation you agree to pay us a non-refundable Five Hundred Dollars (USD $500.00) reservation deposit (the "Reservation Deposit"). The Reservation Deposit is due and payable when you make your Reservation and will be applied toward the total Fees (the "Reservation Deposit"). The balance of the Fees will be divided equally into 7 monthly payments. Your Reservation will only be accepted and considered "firm" once Sheepspot has received your Reservation Deposit and sent you a Reservation confirmation email. Notwithsthanding such confirmation and payment, your Reservation remains subject to cancellation pursuant to Sections 6, 7, 18 and 19 hereof. All Fees (including the Reservation Deposit) are payable by major credit card via the third-party online payment processor Stripe, Inc.

6. Cancellation by Participant. Per Section 5 hereof, the Reservation Deposit is non-refundable. If you cancel your reservation on or before June 30, 2024 (the "Cancellation Deadline"), you may request a 100% refund of the total Fees paid, less the Reservation Deposit, which shall be retained by Sheepspot. All amounts paid by you to Sheepspot in connection with the Retreat become non-refundable as of July 1, 2024. We do not offer credit or partial refunds in the event that you arrive to the Retreat late or leave early. All requests for cancellation must be made in writing and sent by email to Sheepspot in accordance with Section 26 (Notice) hereof. Following the Cancellation Deadline, it may be possible to transfer your Reservation to another person who wishes to participate in the Retreat, provided that any such transfers shall only be allowed in an exercise of Sheepspot's sole and absolute discretion.

7. Cancellation by Sheepspot. We reserve the right to terminate your Reservation and this Agreement immediately on written notice to you if: (i) any Fees have not been paid in accordance with Sections 4 or 5 hereof, and following written notice to you that such amount is outstanding, full payment of such amount has not been received by Sheepspot within three (3) days, in which case your Reservation will be cancelled and all amounts paid by you hereunder shall be retained by Sheepspot and no amounts shall be refunded; or (ii) any condition described in Section 22 (Force Majeure) hereof has occurred and/or the Property is rendered unfit for occupancy prior to or as of the Arrival Date, in Sheepspot's discretion, in which case your reservation will be cancelled and all amounts paid by you hereunder will be refunded to you, other than the Reservation Deposit, which shall be retained by Sheepspot and may be applied as a credit in respect of your participation in a future Sheepspot retreat, upon request.

8. Retreat Package and Exclusions. The Fees include lodging (single or double occupancy room, to be confirmed when making your Reservation) in shared cottages at the Property for three (3) nights as well as certain meals, spinning classes (including materials), wellness workshops, other planned activities, and access to the Property's amenities during the Retreat, all as more particularly described on the Retreat sales page on our website. You are responsible for the cost of any and all services not included in the Retreat package, including, without limitation, flights, ground transportation, baggage fees, insurance, fees incurred due to currency exchange processing funds in another currency, tipping, and any food, drink or activities which are not expressly included in your Retreat package per our website.

9. Travel Documents. If you are travelling to the Retreat from outside of Canada, you must be in possession of a valid passport required for entry, departure and travel to the Retreat destination (which passport must be valid for 6 months past your departure date), and all visas, permits and certificates, including vaccination certificates, insurance policies, and other documentation as required by Applicable Law (as defined below) for the duration of the Retreat. You accept full responsibility for obtaining all such documents, visas and permits prior to the Arrival Date and you are solely responsible for any adverse consequences resulting from missing, incomplete or improper documentation.

10. Insurance. Due to our contractual commitments to third-party suppliers, guides and other service providers who facilitate our retreats, we cannot make any exceptions to cancellation policies set out in Sections 6 and 7 above. We do not offer any credit for arriving late or departing early, missing activities, or not using any part of the Retreat program. Any refunds provided are at the sole discretion of Sheepspot. While not mandatory, we strongly recommend that you obtain full coverage travel and medical insurance covering trip cancellation, curtailment, and interruption, personal injury, medical expenses, and all other expenses that might arise as a result of any loss, damage, injury, delay or inconvenience that may occur to you while travelling to or participating in the Retreat (including, without limitation, any Covid-19 related cancellations or delays).

11. Property Rules. You agree to abide by all rules and terms of use posted by the Property owners at the Property or otherwise communicated to you by us or the Property owners/managers (collectively, the "Property Rules") at all times while at the Property or making use of any shared facilities. Any unsafe or dangerous condition must be reported to us immediately. You agree to leave the Property in the same condition as it was found by you on the Arrival Date. Furniture, appliances, bedding, kitchen equipment, utensils, and any other personal property supplied with the Property must not be removed from the Property. We cannot guarantee against any failure or disruption of electrical service, plumbing, water supply, heating, air conditioning, internet access, or appliances at the Property, and accept no liability whatsoever for any such failures or disruptions. You agree to report any inoperative equipment or maintenance problems to us immediately.

12. Property and Ocean Access. You acknowledge the Property is situated on rugged, hilly land and the accommodations are not wheelchair accessible or otherwise designed for persons with limited physical mobility. You further acknowledge the Property is located adjacent to the Atlantic Ocean, with water access from a dock and beach. The dock and any equipment (including water sports equipment, personal watercraft, boats, and floatation devices) located on the Property or at the dock for use in, near, or on the water are not inspected by Sheepspot and we make no claim as to the suitability of any said items for any use. You acknowledge and agree that you are fully responsible for your safety in, near, on, or otherwise accessing the water, and agree to assume the risks of any and all such activities. You acknowledge and understand the risks associated with ocean tides, rogue waves, low water temperatures, and rapidly changing weather conditions, and agree to assume any and all responsibility for any activity you undertake on, in, or near the water. We make no claim as to the safety of the dock, beach, waterfront or ocean conditions at any time.

13. PARTICIPANT RESPONSIBILITY AND LIABILITY. YOU AGREE TO BE FULLY RESPONSIBLE AND LIABLE FOR YOUR ACTS AND OMISSIONS IN CONNECTION WITH YOUR PARTICIPATION IN THE RETREAT, USE AND OCCUPANCY OF THE PROPERTY AND STUDIO, OR OTHERWISE IN RELATION TO THIS AGREEMENT, THAT RESULT IN ANY LOSSES, DAMAGES OR COSTS OF ANY KIND WHATSOEVER. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, YOU AGREE YOU WILL BE FULLY RESPONSIBLE AND LIABLE FOR ANY AND ALL DAMAGES YOU MAY CAUSE TO THE PROPERTY OR STUDIO, ANY FURNISHINGS OR OTHER CONTENTS THEREOF, AND ANY SHARED FACILITIES, DURING THE RETREAT.

14. DISCLAIMER. EXCEPT FOR ANY EXPRESS WARRANTIES PROVIDED HEREIN, SHEEPSPOT MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND OR NATURE, WHETHER EXPRESS OR IMPLIED, AND SHEEPSPOT SPECIFICALLY DISCLAIMS ANY AND ALL OTHER WARRANTIES, WHETHER WRITTEN OR ORAL, EXPRESS OR IMPLIED, AND HOWSOEVER ARISING.

15. ASSUMPTION OF RISK AND WAIVER. YOU ACKNOWLEDGE AND AGREE THAT WHILE SHEEPSPOT MAY TAKE STEPS TO ENHANCE AND ENCOURAGE YOUR SAFETY IN PARTICIPATING IN THE RETREAT, IT IS NOT POSSIBLE FOR US TO MAKE THE RETREAT COMPLETELY SAFE. YOU ACKNOWLEDGE AND AGREE THAT YOU ARE AWARE OF THE RISKS, DANGERS AND HAZARDS ASSOCIATED WITH TRAVEL, USE OF THE PROPERTY, WATERFRONT, OCEAN, AND SURROUNDING AREAS, AND PARTICIPATION IN RETREAT ACTIVITIES, AND YOU FREELY ACCEPT AND FULLY ASSUME ALL SUCH RISKS, DANGERS AND HAZARDS AND THE POSSIBILITY OF PERSONAL INJURY, DEATH, PROPERTY DAMAGE OR LOSS RESULTING THEREFROM. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU HEREBY WAIVE ALL RIGHTS TO MAKE OR BRING ANY CLAIMS, DEMANDS, ACTIONS, SUITS OR PROCEEDINGS WHICH YOU HAVE OR MAY IN THE FUTURE HAVE AGAINST SHEEPSPOT AND OUR EMPLOYEES, INDEPENDENT CONTRACTORS, AGENTS AND REPRESENTATIVES (COLLECTIVELY, THE "RELEASEES") RELATING IN ANY WAY TO YOUR PARTICIPATION IN THE RETREAT AND YOU HEREBY RELEASE AND FOREVER DISCHARGE THE RELEASEES FROM ANY AND ALL SUCH CLAIMS AND LIABILITY RELATING IN ANY WAY TO YOUR PARTICIPATION IN THE RETREAT.

16. LIMITATION ON LIABILITY. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW: (A) SHEEPSPOT SHALL HAVE NO LIABILITY WHATSOEVER FOR: (I) ANY ACCIDENTS, INJURIES, ILLNESS OR DEATH THAT MAY OCCUR IN CONNECTION WITH OR ARISING OUT OF THE RETREAT OR THIS AGREEMENT; OR (II) ANY LOSS OF OR DAMAGE TO PERSONAL PROPERTY; (B) IN NO EVENT SHALL SHEEPSPOT BE LIABLE TO YOU OR ANY OTHER PERSON FOR CONSEQUENTIAL, INCIDENTAL, INDIRECT, PUNITIVE OR SPECIAL DAMAGES, REGARDLESS OF WHETHER SUCH LIABILITY IS BASED ON BREACH OF CONTRACT, TORT, STRICT LIABILITY, BREACH OF WARRANTIES, FAILURE OF ESSENTIAL PURPOSE OR OTHERWISE, AND EVEN IF ADVISED OF THE LIKELIHOOD OF SUCH DAMAGES; AND (C) IN NO EVENT SHALL SHEEPSPOT'S MAXIMUM AGGREGATE LIABILITY IN CONNECTION WITH OR RELATING TO THIS AGREEMENT OR YOUR ATTENDANCE AT OR PARTICIPATION IN THE RETREAT EXCEED AN AMOUNT EQUAL TO THE FEES PAID BY YOU TO SHEEPSPOT IN CONNECTION WITH THE RETREAT AS CONTEMPLATED BY THIS AGREEMENT.

17. INDEMNIFICATION. YOU HEREBY COVENANT AND AGREE THAT YOU SHALL INDEMNIFY AND HOLD THE RELEASEES HARMLESS FROM AND AGAINST ALL DAMAGES, CLAIMS, LIABILITY, LOSSES, LOST PROFITS, PENALTIES, FINES, COSTS AND EXPENSES, INCLUDING, WITHOUT LIMITATION, ALL REASONABLE LEGAL FEES AND OTHER EXPENSES INCURRED BY ANY OF THE RELEASEES IN THE COLLECTION OF ANY AMOUNTS DUE HEREUNDER OR IN CONNECTION WITH THE ENFORCEMENT OF THIS AGREEMENT WHICH ANY OF THE RELEASEES MAY SUFFER OR MAY BE REQUIRED TO PAY IN CONNECTION WITH ANY AND ALL LOSS OF OR DAMAGE TO PERSONAL PROPERTY, INJURY OR DEATH SUFFERED BY ANY PERSON RESULTING FROM YOUR USE OR OCCUPANCY OF THE PROPERTY OR STUDIO, SURROUNDING AREAS, AND ANY SHARED FACILITIES AND/OR ANY FAILURE TO COMPLY WITH THE TERMS OF THIS AGREEMENT, INCLUDING, WITHOUT LIMITATION, ANY FAILURE TO OBSERVE THE PROPERTY RULES. YOUR INDEMNITY OBLIGATIONS UNDER THIS AGREEMENT SHALL SURVIVE THE EXPIRY OR TERMINATION OF THIS AGREEMENT.

18. Violation of Agreement. IF YOU VIOLATE ANY OF THE TERMS OF THIS AGREEMENT, INCLUDING, BUT NOT LIMITED TO, THE PROPERTY RULES, SHEEPSPOT MAY REQUIRE YOU TO END YOUR PARTICIPATION IN THE RETREAT AND LEAVE THE PROPERTY IMMEDIATELY, AND YOU WILL FORFEIT ALL FEES AND OTHER AMOUNTS PAID HEREUNDER.

19. Disruptive Behavior. You acknowledge and agree that our Retreat leaders', local guides' and/or other representatives' decisions will at all times be final on all matters likely to affect the safety and well-being of Retreat participants during the Retreat. In addition to any other rights and remedies we may have under this Agreement and/or under applicable law, Sheepspot reserves the right to prohibit you from continuing on a Retreat, with no right to receive any credit or refund, if, in our reasonable opinion, your actions and/or behavior are disruptive to the enjoyment of the Retreat for others. Sheepspot accepts no liability whatsoever in connection with you being required to cease your participation in the Retreat for any of the reasons described in this Section 19, and any and all costs and expenses associated with such removal and early departure will be your responsibility.

20. Compliance with Applicable Law. You covenant and agree with Sheepspot to comply with all applicable laws, by-laws, rules and regulations at all times during the Retreat, including without limitation, observing local rules regarding fire-bans and weather advisories (collectively, "Applicable Law"). You accept any and all responsibility and liability for any loss or damage arising in connection with any failure to comply with Applicable Law.

21. Governing Law. This Agreement will be governed by and constructed and enforced in accordance with the laws of the Province of Ontario and the federal laws of Canada (without giving effect to conflicts of laws provisions). The parties hereto agree that the Courts of Ontario shall have jurisdiction to entertain any action or other legal proceedings based on any provisions of this Agreement. Each party hereto does hereby attorn to the exclusive jurisdiction of the Courts of the Province of Ontario in Toronto.

22. Force Majeure. Sheepspot hereby disclaims all liability for any loss, damage or injury of any kind in whole or in part resulting from any act of God or any other force majeure condition including without limitation: environmental pollution or contamination, storms or inclement weather, fire, flood, water or power shortages or failures, riots or civil commotions or disturbances, strikes, arrests, acts of terrorism, war, insurrection, pandemic, epidemic, quarantine restrictions, government health advisories or warnings or alerts of any kind or nature, transportation delays, airport or highway closures or other events beyond Sheepspot's control. In the event that any of these conditions apply, Sheepspot shall be excused, discharged or released from its obligations hereunder to the extent such obligations are so limited or prevented, without liability of any kind. No refunds or other compensation of any kind shall be payable by Sheepspot in connection with the occurrence of any of the foregoing conditions.

23. Consent to Photography, Videography for Marketing Purposes. During the Retreat, photographs and videos may be taken by other Retreat participants, our Retreat leaders, guides and others. You consent to Sheepspot taking such photographs and videos, and grant to Sheepspot a perpetual, royalty-free, irrevocable and unrestricted right to reproduce, use and publish such photographs/videos for promotional, advertising and any other business purpose, in any manner and medium. You agree to waive any right to compensation for any such use by Sheepspot of your name, image, voice and/or likeness.

24. No Waiver. No party hereto shall be deemed to have waived any provision of this Agreement or the exercise of any rights held under this Agreement unless such waiver is made expressly and in writing. The rights and remedies of Sheepspot under this Agreement are cumulative and in addition to and not in substitution of any rights or remedies available to Sheepspot pursuant to applicable law.

25. Severability. If any provision of this Agreement is held to be invalid or unenforceable in whole or in part, the remaining provisions shall not be affected and shall continue to be valid and enforceable as though the invalid or unenforceable parts had not been included in this Agreement.

26. Notice. Any notice or communication under this Agreement must be in writing and sent via e-mail. All notices and communications to Sheepspot must be sent to: info@sheepspot.com. All notices and communications to you will be sent to the e-mail address you provided to us in your Reservation Form.

27. Assignment; Successors and Assigns. This Agreement may not be assigned by the Participant. This Agreement may be assigned by Sheepspot without notice to or consent of the Participant. This Agreement will enure to the benefit of and be binding upon Sheepspot, its successors and assigns, and upon your and your heirs, executors, successors and assigns.

28. Conflict and Amendment. Unless otherwise agreed by the parties hereto in writing, in the event of a conflict between these Terms and the terms set out in your Reservation, our website, or other documents or communications relating to the Retreat, whether sent or received prior or subsequent to you making your Reservation with us, these Terms shall govern. Except as otherwise provided herein, this Agreement may be amended or modified only by the further written agreement of the parties.

29. Personal Information and Privacy. Any personal information which you provide to Sheepspot in connection with your Reservation and the Retreat will be handled, processed, transferred and stored in accordance with the terms of our Privacy Policy. Our current Privacy Policy may be found on our website at: https://www.sheepspot.com/privacy. You acknowledge and agree that, in order to facilitate the Retreat, Sheepspot will need to use your personal information (such as your name, your email address, special needs, health information, and/or dietary information) and also share such information with our third-party suppliers, partners and representatives involved in the operation of the Retreat. By completing the booking form on our website and making a Reservation, you consent to your personal information being handled, processed, stored and transferred/shared as contemplated herein.

30. Counterparts and Electronic Acceptance. These Terms and this Agreement may be accepted in electronic form and executed and delivered electronically. PRIOR TO SUBMITTING A BOOKING REQUEST TO SHEEPSPOT TO MAKE A RESERVATION, YOU ARE REQUIRED TO ELECTRONICALLY ACCEPT THESE TERMS. YOU HEREBY ACKNOWLEDGE THAT YOU HAVE CAREFULLY REVIEWED AND UNDERSTAND THESE TERMS AND YOUR RIGHTS, OBLIGATIONS AND RESPONSIBILITIES HEREUNDER. YOU FURTHER ACKNOWLEDGE THAT SHEEPSPOT HAS PRESENTED YOU WITH THE OPPORTUNITY TO REVIEW AND AGREE TO THESE TERMS. BY CLICKING "ACCEPT" AND PROVIDING YOUR ELECTRONIC SIGNATURE WHEN MAKING YOUR RESERVATION BY TYPING YOUR NAME IN THE SPACE INDICATED, YOU AGREE TO BE BOUND BY THESE TERMS AND THIS AGREEMENT.
